Terms of Use

For the purpose of this Terms of Use policy, Hart Holistic Strategies, LLC may also be referred to as “Hart Holistic Strategies” or simply “HHS”. These Terms of Use govern all “Educational Service Products and/or Offerings” or “Educational Service Products”. Such service products and offerings shall include, but are not limited to, courses, events, webinars, digital & in-person panel discussions, digital & in-person training programs, and all accompanying written, audiovisual, auditory, animated, and photographic content.

I. Consent

Please read these non-negotiable Terms of Use carefully before participating in, or making use of, educational service products and offerings by, or in partnership with, HHS. By participating in, or making use of these educational products or services, you (the “User” or “Users”) agree to be bound by these Terms of Use.

II. Eligibility and Registration

To participate in or make use of educational service products, Users must be at least 18 years old and have the capacity to enter into a legally binding agreement. Users are required to provide accurate and complete registration information and agree to keep it updated as necessary for participation in HHS educational service products and offerings.

III. Intellectual Property and Copyright

Educational service products offered by, or in partnership with, Hart Holistic Strategies, LLC are the property of Hart Holistic Strategies and are protected by U.S. and international copyright law and conventions. All content provided as part of the educational service products, including but not limited to materials, videos, documents, and any other related resources, is the intellectual property of Hart Holistic Strategies. Users may not reproduce, distribute, create derivative works stemming from or based on the educational service products, or modify any related content of these educational service products and offerings. This includes all original content, as well as any translations of such content. Hart Holistic Strategies grants the User the right to access and use its educational service products so long as such use is for the User’s personal information and the User does not alter, copy, disseminate, redistribute, or republish any content or feature of the educational service products. Users acknowledge that access to, and use of, these educational service products and offerings is subject to these Terms of Use, and any expanded access or use must be approved in writing by Hart Holistic Strategies.

IV. Access to Services

Hart Holistic Strategies, its business partners, and/or affiliates will provide Users with access to content, documents, and materials as described on the enrollment or registration pages of the specific educational service products and offerings. Access to educational service products and offerings (e.g., courses & webinars) is granted on a limited, revocable, non-exclusive, non-transferable, and non-sublicensed basis solely for the purpose of User’s participation in, or use of HHS educational service products.

V. Non-Disclosure

Users agree not to disclose any confidential information provided as part of the educational service products and offerings to third parties. Confidential information includes but is not limited to proprietary strategies, trade secrets, course materials, and copyrighted materials, which covers ALL material provided in HHS educational service products and offerings.

VI. Changes or Updates to Educational Service Products

Hart Holistic Strategies reserves the right to change, update, or discontinue any aspect of its educational service products at any time without notice. Continued use of these educational service products after any such change constitutes User’s agreement to these TERMS OF USE, as modified.

VII.  User Conduct

By way of example, and not as a limitation, Users agree that when using HHS educational service products and/or offerings they will abide by the following.

  1. Respectful Behavior: User(s) shall treat instructors, fellow participants or users, and course administrators with respect and courtesy at all times during participation in, or use of the educational service products.

  2. Feedback: Users are encouraged to provide constructive feedback and suggestions regarding HHS educational service products and offerings to improve their quality and effectiveness.

  3. Communication Channels: Any communication related to HHS educational service products and offerings shall be conducted through designated channels provided by Hart Holistic Strategies and/or its affiliated partners. User communication shall adhere to the specific guidelines for each educational service product and/or offering.

    • HHS educational service products and offerings may contain e-mail services, message boards, news, events, chat rooms, communities, personal profile Web pages, calendars, photo albums, file libraries, Instant Notes, and/or other communication services. Users agree to use these services only to post, send, and receive messages and material that are proper and, when applicable, related to the particular communication channels accompanying HHS educational service products and offerings.

    • Third-Party Sources: HHS educational service products and offerings may contain links to other third-party websites, which are provided as additional resources for the convenience of Users, or as hosting sites for the use, registration, or functionality of HHS educational service products and offerings. Hart Holistic Strategies does not endorse, sponsor, or accept any responsibility for these third-party websites or sources, and Users agree to direct any concerns relating to these third-party websites to the relevant website administrator. 

  4. Prohibited Activities: Users shall not…

    • Engage in activities that disrupt or restrict the use of HHS courses, webinars, other educational service products, or violate any applicable laws and regulations.

    • Plagiarize, upload, or otherwise make available files that contain images, photographs, software, or other material protected by intellectual property laws, including, by way of example, and not as limitation, copyright or trademark laws (or by rights of privacy or publicity), unless User owns or controls the rights thereto or has received all necessary consent to do the same.

    • Use HHS educational service products or offerings in connection with surveys, contests, pyramid schemes, chain letters, junk e-mail, spamming, or any duplicative or unsolicited messages (commercial or otherwise).

    • Defame, abuse, harass, stalk, threaten, or otherwise violate the legal rights (such as rights of privacy and publicity) of others.

    • Publish, post, upload, distribute, or disseminate any inappropriate, profane, defamatory, obscene, indecent, or unlawful topic, name, material, or information.

    • Use any material or information, including images or photographs, which are made available through HHS educational service products and/or offerings in any manner that infringes any copyright, trademark, patent, trade secret, or other proprietary right of any party.

    • Upload or submit files that contain viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of another's computer or property of another.

    • Falsify or delete any copyright management information, such as author attributions, legal or other proper notices, or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded.

    • Harvest or otherwise collect information about others, including e-mail addresses.

    • Create a false identity for the purpose of misleading others or circumventing the guidelines, requirements, or policies associated with enrollment, registration, and/or participation in HHS educational service products and offerings.

    • Use, download or otherwise copy, or provide (whether or not for a fee) to a person or entity any content related to HHS educational service products or offerings. Enrollment in, and registration for HHS educational service products is nontransferable. For example, Users are prohibited from allowing someone else to take their place in courses for which the User is registered.

    • Violate any code of conduct or other guidelines which may be applicable to any particular HHS related service. 

VIII. Content Submitted by User

User(s) agrees that all User information and transactional data received or collected through interaction with HHS educational service products and offerings is the property of Hart Holistic Strategies and/or the third-party sites and affiliates that may obtain data to ensure the proper functioning of the educational service products and offerings. By uploading, emailing, posting, publishing, or otherwise transmitting content to any forum or submitting any content in connection with HHS educational service products and offerings, User automatically grants Hart Holistic Strategies a perpetual, royalty-free, irrevocable, nonexclusive right and license to use, reproduce, modify, adapt, publish, transmit, and distribute such content in any form, medium, or technology now known or later developed. Without limiting the foregoing, Hart Holistic Strategies shall have the right to remove any content that violates these Terms of Use, the Hart Holistic Strategies Privacy Policy, the Hart Holistic Strategies Site Terms & Conditions, or is otherwise determined to be objectionable.

IX.   Refund and Cancellation Policy

The refund and cancellation policy for HHS educational service products and offerings shall be as described on the enrollment or registration page(s) for each educational service product and offering. Where no such page or policy exists, User understands and agrees that HHS does not offer refunds for its educational service products and offerings. If Users make payments to enroll in, or register for educational service products or offerings, the payment is considered non-refundable, and Users are committed to completing the course as outlined in this Terms of Use Policy.

X.     Privacy and Data Security

Hart Holistic Strategies and its affiliates will collect and process personal data as described in the Hart Holistic Strategies Privacy Policy. When Users register to use HHS educational service products and/or offerings, Users may be asked to provide their name, organization, email address, and other related information. This information will be used to provide Users with a more personalized online experience, for business purposes and, where applicable, to process orders, as well as to keep track of what topics are of interest to our Users.

XI.   Termination

Hart Holistic Strategies reserves the right to terminate a User's access to any educational service products and/or offerings at any time and for any reason at its sole discretion. The terms hereunder and those regarding Limitation of Liability, Disclaimer of Warranties, Indemnification, and Third-Party Rights as set forth in these Terms of Use and the Hart Holistic Strategies Terms & Conditions shall survive termination.

XII.  Limitation of Liability

In no event will Hart Holistic Strategies be liable for any direct, indirect, incidental, consequential, or exemplary damages in connection with, or arising out of the use or inability to use any HHS educational service products and offerings.

XIII. Disclaimer of Warranties

Hart Holistic Strategies does not warrant or guarantee specific outcomes or success resulting from participation in, or use of, its educational service products and offerings. Such services or offerings are for the User’s educational, personal, or self-development and shall not be considered professional advice.

  1. While the information contained in HHS educational service products and offerings has been obtained from sources believed to be reliable, Hart Holistic Strategies disclaims all warranties as to the accuracy, completeness, or adequacy of such information.

  2. Although HHS works to compile, organize, and review all information provided through its educational service products and offerings, Users assume sole responsibility for the use it makes of HHS educational service products and offerings to achieve the User’s intended results.

XIV. B2B, 1099 Contractors, SOWs, & Consulting Contracts

If User(s) purchase any business-to-business (B2B) subscription products or services from Hart Holistic Strategies, the work agreements and terms of service for those services will be set forth in a separate contract between the User(s) and Hart Holistic Strategies. These Terms of Use will not in any way change or limit User rights and obligations set forth under any Hart Holistic Strategies, LLC B2B, 1099 contract, Statement of Work (SOW), or consulting contracts and agreements.

XV.  Governing Law

These Terms of Use and the resolution of any dispute arising hereunder shall all be governed and construed in accordance with the laws of the state of Maryland, without regard to its conflicts of law principles. User consents to the jurisdiction of the courts of the state of Maryland.

XVI. Website Use

Use or participation in any HHS educational service product and/or offering is subject to these Terms of Use, as well as the Hart Holistic Strategies General Terms & Conditions.
